This page describes the partner program of MIDDAG, LLC, a limited liability company registered in Delaware, United States.
This page describes the program and does not by itself make anyone a partner or create any obligation of MIDDAG, LLC towards a partner.
Who should read this
Organizations that want to resell the products and services of MIDDAG, LLC or refer customers to MIDDAG, LLC should read this page.
Customers who buy through a partner should also read it, because it explains which terms govern their use of the products and services.
Two ways to take part
The program has two models: resale and referral.
A partner takes part in a model only after MIDDAG, LLC approves its application and both sign the partner agreement for that model.
The partner agreement is signed by electronic signature; its template is not published.
The partner agreement governs the relationship between the partner and MIDDAG, LLC; if this page and the partner agreement differ, the partner agreement prevails.
MIDDAG, LLC decides at its discretion whether to approve an application, and may set eligibility requirements in the partner agreement.
Resale
In resale, the partner buys the products and services from MIDDAG, LLC and resells them in its own name and for its own account.
The reseller sets its own resale price, invoices the end customer and collects payment from the end customer.
The reseller pays MIDDAG, LLC for what it buys under the partner agreement, even if the end customer does not pay the reseller.
The end customer’s use of the products and services is governed by a contract between the end customer and MIDDAG, LLC, made of the Terms of Service and the other documents they incorporate.
The end customer accepts the terms of MIDDAG, LLC in its MIDDAG Account before using the products and services, and that acceptance is recorded in the MIDDAG Account.
The reseller may not alter, negotiate or waive any term of MIDDAG, LLC.
The reseller may not change any period, service level or warranty set by MIDDAG, LLC, and may not promise anything beyond the documentation of MIDDAG, LLC.
Any commitment that the reseller makes to the end customer beyond the terms and documentation of MIDDAG, LLC binds only the reseller.
The reseller indemnifies MIDDAG, LLC for any claim that arises from a commitment the reseller made beyond the terms and documentation of MIDDAG, LLC, as set out in the partner agreement.
Referral
In referral, the partner introduces a potential customer to MIDDAG, LLC.
The referral partner registers each referral in the way the partner agreement sets out, and a referral counts only after MIDDAG, LLC approves it.
The referred customer contracts with MIDDAG, LLC and pays MIDDAG, LLC directly through the MIDDAG Account.
MIDDAG, LLC pays the referral partner a commission for each approved referral, after MIDDAG, LLC receives the referred customer’s payment, under the rules of the partner agreement.
The referral partner does not negotiate prices, does not take orders and does not enter into contracts with the referred customer.
The referral partner has no exclusivity of any kind, including by geographic area, market or customer, and has no sales target.
What no partner can do
No partner has authority to bind MIDDAG, LLC, to accept orders for MIDDAG, LLC or to enter into contracts in the name of MIDDAG, LLC.
No partner may assume any obligation in the name of MIDDAG, LLC, and MIDDAG, LLC assumes no obligation in the name of a partner.
The program creates no mandate between a partner and MIDDAG, LLC; each partner acts as an independent business.
No partner may present itself in a way that suggests it acts on behalf of MIDDAG, LLC, or that it is a branch or a part of MIDDAG, LLC.
A partner stops any presentation or practice that MIDDAG, LLC considers misleading as soon as MIDDAG, LLC notifies it.
Promotion and brand
A partner may promote the products and services of MIDDAG, LLC through appropriate means, following the guidelines that MIDDAG, LLC provides.
A partner may use the names, logos and trademarks of MIDDAG, LLC only as the partner agreement allows, and acquires no right in them.
When the partner agreement ends, the partner stops any use of the names, logos and trademarks of MIDDAG, LLC and any statement that it is a partner of MIDDAG, LLC.
Products and services
MIDDAG, LLC does not commit to offering any particular product or service indefinitely or for a specific period.
MIDDAG, LLC may change the specifications or features of its products and services, withdraw a product or service, or stop selling or supporting it, under the Terms of Service.
Compliance
Each partner complies with the laws that apply to its business, including laws on anti-corruption, sanctions, export control, consumer protection and data protection.
A partner does not resell to, or refer, a customer that acts on behalf of a public authority without the prior written approval of MIDDAG, LLC.
A partner follows the Acceptable Use Policy and does not resell to, or refer, a customer whose business is prohibited by it.
Program policies
The operating rules of the program, such as eligibility, registration of referrals and payment of commissions, are set out in the partner agreement and in the program policies it refers to.
A partner is responsible for reviewing the program policies in force each time it registers a referral or places an order.
Changes to this page
MIDDAG, LLC announces a change to this page 30 days before the effective date, on the Updates page.
A change to this page does not change a signed partner agreement, which changes only as that agreement provides.
